Terms of Service

1. Acceptance

These Terms of Service ("Terms") govern access to and use of Khodi Mart websites, dashboards, APIs, Docs, and related services (the "Platform"). By registering or using the Platform you enter a binding agreement with Khodi Mart, based in Surat, Gujarat, India.

If you use the Platform on behalf of a business, you confirm you are authorised to bind that business.

2. Eligibility

• You must be a business or authorised representative aged 18+ operating lawful wholesale / marketplace commerce.
• You must provide accurate business and contact details and keep them updated.
• We may refuse or revoke access where KYC, risk, or policy checks fail.

3. Account registration

• One person/entity may hold role-appropriate accounts (seller, supplier, warehouse, admin) as approved.
• You are responsible for all activity under your credentials. Notify us immediately of unauthorised access.
• We may suspend or terminate accounts for fraud, abuse, non-payment, policy violations, or legal risk.

4. Subscription

Certain features (MAYA, SPIE, ShipSmart, Global OPS, priority support, and similar) require an active plan or entitlement. Plan features and limits are shown at purchase and in your billing settings. We may change plans with notice for renewal periods. Unused quota generally does not roll over unless we state otherwise.

5. Payment terms

• Subscription fees are billed in advance for the selected period unless stated otherwise.
• Wholesale product orders follow checkout / invoice payment status shown on the Platform.
• Taxes (including GST) may apply as shown at checkout or on invoices.
• Failed payments may result in feature suspension until resolved.

6. User responsibilities

• Sellers: use catalogue, orders, and integrations only for lawful resale; verify margins and marketplace compliance before listing; honour MOQ and pickup windows.
• Suppliers: list accurate products and stock; fulfil within agreed SLAs; do not divert Platform sellers using confidential data.
• All users: keep credentials secure; do not share accounts; follow the Acceptable Use Policy.

7. Marketplace compliance

Amazon, Flipkart, Meesho, and other marketplaces are third parties. Their seller agreements, listing policies, and API terms also apply to your accounts there. You must not use Khodi Mart to violate marketplace policies (including prohibited products, fake orders, review manipulation, or credential sharing). We may disconnect integrations or suspend accounts that create partner or legal risk.

8. API usage

• APIs and webhooks (where provided) require authenticated access and must respect published rate limits.
• Do not scrape, reverse-engineer security controls, or attempt to access other tenants' data.
• Keys and tokens must be stored securely and rotated if compromised.

9. Intellectual property

Platform software, trademarks, Docs content, and UI belong to Khodi Mart or its licensors. Catalogue images and product content may belong to suppliers; you receive a limited licence to use them for selling through authorised channels while you have access. You may not copy, scrape, or republish the Platform en masse without written permission.

10. Limitation of liability

THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. To the maximum extent permitted by Indian law, Khodi Mart’s total liability arising from any claim relating to the Platform is limited to the fees you paid us for the service giving rise to the claim in the three (3) months before the event. We are not liable for indirect, incidental, special, consequential, or lost-profit damages, or for marketplace account suspensions caused by your listings or policy violations.

11. Termination

You may stop using the Platform and request account closure at any time. We may suspend or terminate access for breach of these Terms, non-payment, fraud, or legal risk. Provisions that by nature should survive (IP, liability limits, indemnity, governing law) survive termination. See Cancellation Policy for subscription end dates.

12. Governing law

These Terms are governed by the laws of India. Courts at Surat, Gujarat (or as otherwise required by mandatory law) shall have exclusive jurisdiction, subject to applicable SME protections if any apply.

13. Dispute resolution

Before filing a claim, contact support@khodimart.com so we can attempt good-faith resolution within a reasonable period. Unresolved disputes may proceed in the courts specified above. Enterprise customers with a signed MSA or SLA may follow the dispute clause in that agreement.
